Affiliate Agreement & Marketing Guidelines
Two short things to agree to before we send your marketing content: the Affiliate Agreement below, and the Marketing Guidelines that follow it. Both are recorded to your account once you agree.

1. Affiliate Agreement
Independent, Non-Exclusive Relationship
You participate in the Integrity Virtual Partner ("Company," "IVP," operated by Desert Gate Holdings LLC) affiliate program as an independent affiliate, not as an employee, partner, joint venturer, or agent of the Company. You control how and where you share your referral link. Participation is non-exclusive: you may promote other businesses, and the Company may work with other affiliates.
Eligibility and Right to Work
By agreeing, you represent that you are at least 18 years old, and that you are legally permitted to work, promote products and services, and receive commission income in the location or locations from which you are working or advertising, under all applicable local, state, and national law. You are solely responsible for confirming this before participating, and for meeting any tax, work-authorization, or other legal requirements that apply to you where you live or work.
No Cost, No Recruiting Structure
There is no cost to join and nothing to purchase. Compensation is based solely on actual referred sales, never on recruiting other affiliates. This is not a multi-level, pyramid, or downline program.
Scope of Activity for hiring a Virtual Assistant: Introduction Only
Your role is strictly to introduce a prospective customer to IVP using your referral link or code. Once a customer is introduced, IVP takes over that relationship entirely, including all discussion of services, pricing, timelines, and terms. IVP will make reasonable efforts to keep you informed of the status of a customer you introduced, for transparency, but at no point, before or after introduction, are you authorized to negotiate, discuss pricing, make commitments, or otherwise represent IVP's capabilities to that customer. You are not authorized to set or negotiate pricing, sign agreements, make guarantees, or otherwise bind the Company. All customer agreements, pricing, and terms are handled by the Company directly.
Scope of IVP's Capability
You may only describe IVP's services as they are actually published on the IVP website or in Company-approved materials. Any promise, guarantee, or representation you make that goes beyond IVP's actual, published scope of capability is unauthorized and is not binding on the Company. The Company is not responsible for honoring any expectation created by a promise you made beyond its actual capabilities, may decline or modify any resulting engagement at its discretion, and you have no claim to commission based on an expectation you created that the Company did not agree to.
Compliance and Marketing Guidelines
- You will follow the Marketing Guidelines below at all times, including its "Do Not Say" rules, and will use only Company-approved claims about IVP.
- You will not make any false, misleading, deceptive, or unauthorized statement about IVP, and you are solely responsible for any statement you make that goes beyond approved materials.
- You will comply with all applicable laws for any email, text, or call you send promoting IVP, including CAN-SPAM, TCPA, and Do-Not-Call rules, and will not contact anyone on a do-not-contact list.
- You will never receive, request, handle, or transmit any patient health information (PHI) as part of your affiliate activity.
Commission
You earn commission only on sales attributed to your referral link or code, at the rate shown in your affiliate dashboard (currently 20%), including on recurring subscription renewals for as long as the referred subscription stays active. Commission is calculated on amounts actually collected by the Company. No commission is owed on refunded, charged-back, or void transactions (including self-referrals), and any commission already paid on such amounts may be deducted from future payouts. Payouts are made via Stripe Connect once you complete onboarding. The Company may change commission rates or terms going forward with notice through the dashboard or by email; changes do not apply retroactively to already-earned commissions.
For a client you introduce who hires a virtual assistant through IVP, commission is paid at a rate of $1.00 per hour of virtual assistant service actually billed to and collected from that client, in place of the 20% rate, for as long as that virtual assistant continues working and billing. There is no cap on total earnings, this rate applies across every billed hour and every virtual assistant placed with that client. This commission is paid the same day the corresponding virtual assistant paycheck is paid to and lands in the Company's account, rather than on the standard monthly cycle.
Fraud and Misrepresentation
Self-referrals, fake accounts, and any attempt to generate commission through fraudulent, automated, or deceptive means are prohibited and void any resulting commission. You will not misrepresent your relationship with IVP or claim to speak officially on its behalf beyond sharing your referral link and information already published on the IVP website. The Company may place a commission on hold, without liability to you, for as long as it is reasonably investigating suspected fraud, a payment dispute, or a chargeback connected to that commission.
Taxes and Payouts
You are solely responsible for reporting and paying any taxes on commission you receive. Stripe, as the Company's payment processor, may issue you a 1099 or other tax form directly where required by law. The Company does not withhold taxes on your behalf and provides no tax, legal, or accounting advice.
Third-Party Platforms
The Company is not responsible for actions taken by any social media platform, email provider, or other third-party service you use to promote IVP, including account suspension, content removal, or lost audience, even if it affects your ability to earn commission.
Confidentiality
You will keep confidential any non-public Company or customer information you become aware of through the program, and will use it only to participate in the affiliate program. This survives the end of your participation.
Term and Termination
Your participation is at-will. Either party may end it at any time. The Company may terminate immediately for cause, including fraud, misrepresentation, violation of these terms, or violation of law. Commission already earned on legitimate, collected sales prior to termination is still payable per the terms above; commission is forfeited for any activity found to be fraudulent or in violation of this Agreement.
No Sabotage
You will not intentionally disparage, mislead about, or act in bad faith to harm the Company, its customers, or its reputation. This is a material breach and grounds for immediate termination and forfeiture of pending commission.
Intellectual Property
All Company names, logos, marks, and marketing materials remain the exclusive property of the Company. You receive only a limited, revocable license to use Company-approved materials while you participate in good standing.
Indemnification and Liability
You agree to indemnify and hold harmless the Company, Desert Gate Holdings LLC, and their staff from claims arising from your misrepresentations, unauthorized statements, violations of law, or breach of this Agreement. To the maximum extent permitted by law, the Company's total liability to you will not exceed the commission paid to you in the three months before any claim.
General
This Agreement is governed by the laws of the State of Arizona, with exclusive venue in Maricopa County, Arizona. It is the entire agreement between you and the Company regarding the affiliate program and may be amended by the Company with notice through the dashboard or by email. It may be accepted electronically, as you are doing now.
2. Marketing Guidelines
This is a starting draft. If you have a previous marketing guidelines document, share it and we will replace this with your exact wording.
Always Disclose the Relationship
Any post, video, email, or message promoting IVP must make clear you are a paid affiliate. This is required by FTC endorsement guidelines, not optional.
Do Not Say
- Do not promise specific pricing, discounts, or terms that are not shown on the IVP website or in materials the Company gave you.
- Do not guarantee outcomes, savings amounts, approval, or results ("guaranteed to save you $X," "guaranteed approval," etc.).
- Do not make compliance claims on IVP's behalf beyond what the IVP website itself states.
- Do not claim to be an IVP employee, or that you can answer support, billing, or account questions on IVP's behalf. Direct those to contact@desertgateholdings.com.
- Do not make false or misleading claims about competitors.
- Do not promise anything about what IVP can do beyond what is published on the IVP website. If a prospective customer asks about pricing, timelines, or whether IVP can handle a specific request, tell them IVP will follow up directly, do not answer on IVP's behalf.
Materials and Brand
Use only Company-approved logos, screenshots, and language. Do not edit the IVP logo, fabricate testimonials, or present mockups as real product screens.
Email, Text, and Calls
Any email must include a working way to opt out and honest sender identification (CAN-SPAM). Any text or call must respect Do-Not-Call registries and TCPA consent rules. Never send unsolicited bulk messages ("spam") using your referral link.
Respect for Leads
Do not contact the same person repeatedly across multiple channels after they have shown no interest. One thoughtful follow-up is reasonable; repeated unsolicited outreach is not.
